1. Agreement to Terms
These Terms of Service ("Terms") form a legally binding agreement between you (the "User") and TradeFlow AI Ltd ("TradeFlow AI", "we", "us", "our"), a company registered in England and Wales.
By creating an account or using the TradeFlow AI platform, you agree to these Terms. If you do not agree, you must not use the service.
2. The Service
TradeFlow AI provides a software-as-a-service platform for UK tradespeople that includes: professional quote generation, invoice creation and management, automated payment reminders, Stripe-powered payment processing, and business analytics.
We reserve the right to modify, suspend or discontinue any part of the service at any time, with reasonable notice where possible.
3. Eligibility
To use TradeFlow AI you must:
- Be at least 18 years of age
- Be operating a legitimate business in the United Kingdom
- Have the legal authority to enter into this agreement on behalf of your business
- Provide accurate and complete registration information
4. Free Trial
New accounts include a 14-day free trial with full access to all features. No payment card is required to start a trial. At the end of the trial period, you must subscribe to continue using the service. Trial data is retained for 30 days after trial expiry if you choose not to subscribe.
5. Subscription and Payment
5.1 Plans and Pricing
We offer weekly and annual subscription plans. Current pricing is displayed on our pricing page. Prices are shown inclusive of applicable VAT.
5.2 Billing
Subscriptions are billed in advance through Stripe. By subscribing, you authorise us to charge your payment method on a recurring basis (weekly or annually depending on your plan).
5.3 Cancellation
You may cancel your subscription at any time from your account settings. Your access will continue until the end of the current billing period. We do not offer refunds for partial billing periods, except where required by law.
5.4 Price Changes
We will give you at least 30 days' notice of any price increase via email. Continued use of the service after that date constitutes acceptance of the new pricing.
6. Acceptable Use
You agree not to use TradeFlow AI to:
- Violate any applicable laws or regulations
- Send fraudulent, misleading or spam invoices or communications
- Impersonate any person or entity
- Scrape, reverse engineer, or attempt to extract our source code
- Transmit malware, viruses, or malicious code
- Resell or sublicense the service without our written permission
- Use the service for any purpose unrelated to legitimate trade business activity
Violation of these conditions may result in immediate account suspension or termination.
7. Your Data and Content
You retain full ownership of all data, quotes, invoices, and customer information you upload to or create within the platform. By using the service, you grant us a limited licence to store and process this data solely to provide the service to you.
We will never access, sell or share your business data with third parties except as described in our Privacy Policy.
8. Intellectual Property
TradeFlow AI, including our platform, website, brand, logo, and all software, remain the exclusive intellectual property of TradeFlow AI Ltd. You are granted a limited, non-exclusive, non-transferable licence to use the platform during your subscription.
9. Service Availability
We aim to provide a reliable service and target 99.9% uptime. However, we do not guarantee uninterrupted availability. Scheduled maintenance will be communicated in advance where possible. We are not liable for losses resulting from downtime beyond our reasonable control.
10. Limitation of Liability
To the maximum extent permitted by UK law, TradeFlow AI's total liability to you for any claim arising from use of the service shall not exceed the total fees you paid us in the three months preceding the claim.
We are not liable for: indirect or consequential losses, loss of profit or revenue, loss of business data (beyond what you can recover from our backups), or losses arising from third-party service failures (e.g. Stripe, Supabase).
Nothing in these Terms excludes liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.
11. Indemnity
You agree to indemnify and hold harmless TradeFlow AI Ltd and its directors, employees and agents from any claims, damages, or expenses arising from your use of the service in breach of these Terms.
12. Termination
We may terminate or suspend your account immediately if you breach these Terms, without prior notice. You may close your account at any time from your account settings. Upon termination, your right to use the service ceases and your data will be handled in accordance with our Privacy Policy.
13. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
14. Changes to Terms
We may update these Terms from time to time. We will notify you of significant changes by email at least 14 days before they take effect. Continued use after that date constitutes acceptance.
